Complete Contest Rules and Regulations

1. How to enter: The 2019 Meme Contest is organized by Veterinary Practice News' www.veterinarypracticenews.com and is the property of Kenilworth Media Inc. ("Kenilworth"). Entries for the contest open on Monday, July 22, 2019 and ends on Friday, August 30, 2019. Online entries must be received by 11:59 p.m. (EST) on Friday, August 30, 2019.

   To enter go online to www.veterinarypracticenews.com/meme-generator. You will find a "Browse" button where you can upload your own pre-made meme or your own photo to use in the meme generator. Once your image is uploaded, use the "Top Text" and "Bottom Text" options to insert your own caption. Use the tools in the "More options" section to change the orientation, font color, size, and line height on the image. If your image is pre-made, delete the text that comes up in the meme generator before submitting. If you do not have your own image, use one from the gallery provided by clicking the "Select Template" button. Once you've filled in all the required information and have accepted the contest's Rules and Regulations, click "Enter My Meme" to submit your entry. Download your finished meme by clicking the "Download Meme" button and share it on social media with the hashtag #VPNMemeContest. Limit of one submission per e-mail address. Each entry must be unique and must not have been previously submitted in the contest. No purchase or payment is necessary to enter or win this contest and will not improve the chances of winning.

   Entries must meet the following requirements and by entering the applicant represents, warrants, and agrees that:

   • The entry submitted was created by them or they have received prior permission from any individual and/or the clinic involved in the creation of the entry, including the photos ("Third Party Participant"), the owner of the pet (if applicable), and they have the right to use the entry, and all elements of the entry (including the photos), including the license contemplated for use of an entry in accordance with the official rules;
   • The entry does not contain any prominent use of third-party trademarks, trade names, brands, or logos;
   • The entry does not defame or otherwise violate the rights of any third party; and
   • The entry is not offensive and does not contain any elements such as nudity, graphically violent imagery, sexually suggestive imagery, or be explicitly racial, profane, slanderous, or visually depict alcohol or gambling.

2. Judging: All submitted memes will be judged by the public during a voting period, from Tuesday, September 3, 2019 to Friday, September 13, 2019 at 11:59 p.m. (EST). The winning memes will be chosen based on the highest votes following the voting process.

3. Prizes: Winner(s) agree(s) the prizes are being provided "as is" and Kenilworth makes no warranty, representation, or guarantee regarding the prizes, including but not limited to their quality, condition, merchantability or fitness for a particular purpose. Winner(s) must look solely to the manufacturer(s) for any such warranties or guaranties.

   Selected entrant(s) will be notified by e-mail. If any selected entrant cannot be reached within five (5) business days, they will forfeit the prize and the judges will select an alternate entrant. Each selected entrant will be sent a declaration and release form by e-mail. In order to be declared a winner, each selected entrant must sign and return the declaration and release form and return it to Kenilworth, releasing Kenilworth from any and all claims or causes of action arising out of the entrant's participation in the contest and receipt, use or misuse of the prizes, confirming compliance with the contest rules, accepting the prize as awarded and consenting to the use of the entrant's name, without compensation, in any future publicity carried out by Kenilworth. Declaration and release form must be received by Kenilworth within ten (10) days of delivery thereof to the selected entrant, failing which that entrant will be disqualified and Kenilworth may, in its sole and exclusive discretion, select another entry from remaining eligible entries. Kenilworth also reserves the right to reject any entry form that is incomplete, illegible, or contains a human or mechanical error and to proceed with the selection of another entrant.

   The total retail value of the prize is $500. The winner is responsible for all local, state, and federal taxes and fees, if any, and an IRS form 1099 will be filed in the name of the winner as required by law. No substitution permitted. Prize will be awarded to the individual who submitted the entry but is transferrable as instructed by the winner.

4. Who can win: The contest is open to legal residents of the 50 United States or the District of Columbia 18 years of age or older at time of entry, with the exception of the employees of Kenilworth, the sponsors, and all persons with whom these employees are domiciled. By entering the contest, participants agree to be bound by the contest rules. Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law. Winners will be announced on social media and veterinarypracticenews.com on Tuesday, September 17, 2019.

5. Conditions: Entrants must agree to the official rules. Entrants assume all liability for any injury, including death, or damage caused or claimed to be caused, by participation in this contest or use or redemption of any prize. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. Kenilworth is not responsible for: (i) lost, late, misdirected, illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Kenilworth on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the contest, or (iv) the failure of any third party to comply with the instructions and proper administration of this contest. Kenilworth reserves the right to permanently disqualify from any contest any person it believes has intentionally violated the official rules and terminate the contest if it becomes technically corrupted (including if a computer virus or system malfunction impairs its ability to conduct the contest), or to select the winners from among all eligible entries received prior to termination. If Kenilworth at any time receives a complaint (including but not limited to a cease and desist letter, general letter of complaint etc.) alleging intellectual property infringement or any other violation of any third party right pertaining to any element of an entry sponsor reserves the right to disqualify the entry.

   Entries become the property of Kenilworth Media Inc., which reserves the right, without further consideration, to use all materials in any publication, media and related promotions.

   Entry into this contest requires that entrants supply contact information, including name, clinic name, address and e-mail address. Kenilworth will never publish the entrants' e-mail address. Name and clinic name—and city, state and/or country—along with text and photos submitted as part of any entry, may be posted on veterinarypracticenews.com or other websites and social media pages owned or managed by Kenilworth in conjunction with the contest and its results, marketing purposes, and on sponsor websites and social media as well. Information provided by entrants may be shared with the contest sponsor, which may use the information for marketing purposes, as well as for facilitate prize delivery. Veterinary Practice News and Kenilworth are not responsible for removing your name from sponsor mailing lists should it end up on one.

   By participating, entrant acknowledges that Kenilworth, does not waive any rights to use similar or related ideas that might be contained in an entry which is otherwise not protected by law or was previously known to Kenilworth or developed by their respective employees, or obtained from sources other than the entrant. Any and all legal actions or claims arising in connection with the contest must be brought in a court of competent jurisdiction within the United States and the terms, or any dispute, will be governed by the laws of the state of Delaware without giving effect to any choice of law or conflict of law rules, which could cause the application of the laws of any jurisdiction other than the State of Delaware. Any and all disputes, claims, and causes of action arising out of or in connection with the contest, shall be resolved individually, without resort to any form of class action. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THE CONTEST. BY PARTICIPATING, ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEY'S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE SPONSOR'S WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

6. Winner's list: For the name of the winner (posted online and available within 30 days after the contest ends), mail a self-addressed, stamped envelope to Kenilworth Media Inc., the 2019 Meme Contest Winner's List, 266 Elmwood Avenue #289, Buffalo, NY 14222 no later than 60 days after the contest ends.

7. Privacy: All information submitted by you as part of this contest will be treated in accordance with the Privacy Policy (accessible from kenilworth.com/privacy-policy/), except as otherwise described in the official rules and contest materials. By participating in this contest, entrants acknowledge and agree all information and material, including any personal information provided in entry materials, will be shared with agents, representatives, and other third parties involved in the execution, administration, or hosting of this contest, and may be further publicized as described above. In the event of any conflict between the official rules and the terms of the Privacy Policy, these official rules shall govern.

8. General: This contest is subject to all applicable federal, state, and municipal laws, and regulations. Void where prohibited. All entry materials become the property of Kenilworth and will not be acknowledged or returned. The copyright in any submission shall remain the property of the entrant, but entry in this contest constitutes entrant's irrevocable, perpetual permission, and consent to Kenilworth and others authorized by Kenilworth, without further compensation or attribution, to use, reproduce, print, publish, transmit, communicate to the public, distribute, sell, perform, adapt, enhance or display the submission and the entrant's name and city and province for editorial, advertising, commercial, and publicity purposes, in any and all media now in existence or hereinafter created, throughout the world, for the duration of the copyright in the submission. The entrant also consents to Kenilworth doing (or omitting to do) any acts in respect of the submission, which may otherwise constitute an infringement of the entrant's moral rights. Kenilworth and/or others authorized by Kenilworth shall have the right to edit, adapt, and modify the submission.

   Kenilworth reserves the right to withdraw, terminate or modify this contest or any portion of this contest, or extend the deadline of this contest, at any time without prior notice. Kenilworth does not assume any responsibility for lost, delayed, or misdirected entries, or for technical difficulties of any kind resulting in the inability of a user to enter the contest. Kenilworth will use the personal information provided on the entry form to administer the contest, to contact applicants if selected as the winner. Entrants may be offered the opportunity to receive additional communications from Kenilworth and/or the sponsors and/or additional future sponsors about their products, and upcoming contests and promotions but no information will be shared without consent (by way of providing an opportunity to opt-out of this information sharing arrangement).    Kenilworth does not assume any responsibility for failure of the internet or the website during the contest period, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or traffic congestion on the internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer related to or resulting from playing or downloading any material in the contest. Use of bots or other automated processes enter is not allowed and may result in disqualification at Kenilworth's discretion. Kenilworth reserves the right, in their discretion, to cancel, modify or suspend this contest, or any portion thereof, at any time and without notice or obligation if, in Kenilworth's opinion, any factor interferes with its proper conduct as contemplated by these contest rules, including but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, programming errors, or technical failures, or other causes beyond their reasonable control, which, in the opinion of Kenilworth, corrupts or affects the proper administration security, fairness, integrity, or proper conduct of the contest. Any attempt to deliberately damage any web site or to undermine the legitimate operation of this promotion is a violation of criminal and civil laws. Should such an attempt be made, Kenilworth reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

   If the identity of an entrant is disputed, the authorized account holder of the e-mail address submitted at the time of entry will be deemed to be the entrant. The individual assigned to the e-mail address for the domain associated with the submitted e-mail address is considered the authorized account holder. A selected entrant may be required to provide proof of being the authorized account holder of the e-mail address associated with the selected entry. All entries must be submitted from a valid e-mail account that may be identified by reverse domain name search.

   Kenilworth shall not be responsible in any way for the use of or bear any liability whatsoever in any way attributable to an entrant's participation in this contest or the prizes awarded in this contest, including liability for any injury, loss or damages of any kind to persons, including death, and property.
